Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of ClayBill (“the Service”), a GST billing and business management platform that is a product of Anha Labs LLP. By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Definitions
- “Company”, “we”, “us” — Anha Labs LLP, the operator of ClayBill
- “Service” — the ClayBill web application, APIs, and related tools made available at claybill.in and its subdomains
- “Account” — the company workspace and user logins created to access the Service
- “Your Data” — the business records (invoices, parties, items, ledgers, and similar) you or your team enter into the Service
- “Subscription” — a paid plan (Basic, Pro, or Premium) that unlocks specific features of the Service
Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. New company accounts are subject to review and approval before full access is granted. You agree to provide accurate and complete information when creating an account and to keep it up to date.
Subscription & Billing
Certain features of the Service are offered on a paid subscription basis. Where a free trial is offered, your subscription will begin automatically at the end of the trial unless you cancel beforehand. Fees are billed in advance on a recurring basis and are non-refundable except where required by law. We reserve the right to change our pricing with reasonable notice.
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorized access to the Service or other users' data
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to store or transmit data you do not have the right to use
Your Data
You retain all rights to the business data you enter into the Service, including invoices, parties, and financial records. You are solely responsible for the accuracy of the data you submit, including for compliance filings such as e-way bills and e-invoices generated through third-party GST service providers we integrate with. Intellectual Property
The Service — including its software, design, branding, and documentation — is owned by Anha Labs LLP and protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your own business purposes. You may not copy, modify, resell, or create derivative works from the Service itself. As stated above, you retain all rights to Your Data.
Indemnification
You agree to indemnify and hold ClayBill and Anha Labs LLP harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or the accuracy of the data and compliance filings you submit through the Service.
Third-Party Services
The Service integrates with third-party providers for functionality such as GST e-way bill and e-invoice generation, and email delivery. Your use of those features is also subject to the applicable third-party provider's terms. We are not responsible for outages, errors, or data handling by third-party providers outside our control.
Termination
We may suspend or terminate your access to the Service if you violate these Terms or if required to do so by law. You may stop using the Service at any time. Upon termination, your right to use the Service ends immediately, though certain provisions of these Terms will survive termination, including those relating to data ownership and limitation of liability.
Disclaimer & Limitation of Liability
The Service is provided “as is” without warranties of any kind, express or implied. ClayBill does not guarantee that the Service will be uninterrupted, error-free, or that compliance filings (such as e-way bills or e-invoices) will always be accepted by government systems. To the maximum extent permitted by law, ClayBill shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.
Force Majeure
Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, internet or power outages, government action, or outages of third-party providers we depend on (including government GST filing systems).
Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of India. Before initiating formal proceedings, both parties agree to first attempt to resolve the dispute informally by contacting us at the email below.
General
- Severability — if any provision of these Terms is found unenforceable, the remaining provisions continue in full force
- Entire agreement — these Terms, together with the Privacy Policy and any order form you've accepted, constitute the entire agreement between you and us regarding the Service
- Assignment — you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets
- No waiver — our failure to enforce a provision is not a waiver of our right to do so later
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
